TERMS AND CONDITIONS

The Agent (Newlife Brazil) - Childbirth Facilitation Services
These Terms and Conditions govern the provision of services by Newlife Brazil, a trading name of Voodoo Media LLC, and referred to herein as "The Agent", to the client ("Client") for the agreed-upon Childbirth Facilitation Package.
1. Services Included
The Agent agrees to provide the services and support hours as precisely detailed in the Client’s Quotation, which is incorporated into this agreement by reference. These services are categorized as Phase 1, Phase 2, Phase 3, and Ongoing Support.
2. Services Excluded (Costs to be borne by Client)
The package fee EXCLUDES and the Client is solely responsible for the cost of:
All Hospital fees (including facility use, operating room, and extended stays).
All Doctors fees (including Obstetrician, Pediatrician, anesthesiologist, and any specialist consultations).
Accommodation and related costs (e.g., utilities, cleaning, rent).
Transport fees, other than the specifically included private transport as defined in the Quotation.
All personal expenses (e.g., shopping, non-included food costs).
3. Concierge & Interpreter Service - Service Level Agreement (SLA)
Included Time: The package includes pre-paid Personal Concierge & Interpreter time, as specified in the Client’s Quotation.
Time Calculation: Time is deducted in 1-hour increments for all assistance provided (message, voice, in-person).
Call-Out Fee: For in-person assistance, an amount equivalent to 1 hour is deducted from the balance as a 'call-out' fee for travel costs, generally applied once per day.
Additional Time: Once the initial pre-paid time has expired, extra time can be purchased at the rate and in the time block allocations as specified in the Client’s Quotation, pre-paid in advance and due upon invoice. No refunds are available for unused pre-paid hours.
Permitted Tasks (Examples): The concierge can only assist with personal tasks that are of a nature to be reasonably requested of this role by a professional interpreter. Some examples of this are:
In-person attendance for translation at medical, government, consular, civic appointments.
Accompany with shopping.
Booking local appointments.
Guidance with filling out forms.
Research for local service providers.
Advising on local customs, conventions, best practice, orientation.
Basic assistance with setting up local Apps (such as food delivery, online shopping, banking, ride sharing etc).
Prohibited Tasks: The Personal Concierge Service is strictly limited to the professional interpreter-related and administrative support tasks described above. The concierge is expressly prohibited from undertaking tasks of a domestic, custodial, or personal-care nature, including but not limited to, childcare (babysitting), housekeeping (e.g., cleaning the apartment, hand washing laundry), or any tasks deemed dangerous, unprofessional, illegal, or inappropriate.
Right of Refusal: The concierge also reserves the right to decline in-person requests for visits outside of normal business hours, or to stay with the Client for longer consecutive hours than what might be construed as a normal ‘working day,’ unless agreed upon in advance.
Termination: Any abuse of this service will be reported and can result in the immediate termination of the concierge service, without compensation of remaining hours pre-paid. If you have any doubts please contact your The Agent representative for clarification.
4. General Terms
Disclaimer & Service Role: The Agent acts solely as a facilitator and coordinator for the services outlined. The Agent does not provide medical advice, legal advice, or tax advice. All information, referrals, and assistance provided are for administrative and logistical facilitation purposes only. The Client must rely on independent licensed professionals for all medical, legal, and financial decisions.
Client Communication Service Level: The Agent commits to responding to all Client Support messages via Whatsapp within four (4) hours during the stated operational hours of 09:00-17:00 BRT, Monday to Friday. Responses outside of these hours will be handled on a best-effort basis or during the next operational window.
Official Communications and Notices: Any official or legal notices to The Agent must be sent to the following address:
Voodoo Media LLC, 30 N Gould St Ste R, Sheridan, WY 82801Payment Terms (Pay As You Go Pricing): The payment structure and total service fee are defined exclusively in the Client’s Quotation. The payment schedule is as follows:
Deposit: Amount and due date are specified in the Quotation.
First Installment: Amount and due date are specified in the Quotation.
Final Installment: Amount and due date are specified in the Quotation. This payment is required to commence all post-birth work.
Service Delivery: No agreed service will be delivered for a specific phase until the corresponding payment for that phase has been received.
Cancellation and Refunds: The Client must notify The Agent of any cancellation in writing.
Client Cancellation: Due to the nature of the 'Pay as you go' payment structure, no refunds are due to the Client upon cancellation. Any outstanding unpaid amounts for future phases will no longer be due from the Client.
The Agent Cancellation: If The Agent cancels the service, refund amounts will be subject to a sliding scale based on the date of cancellation relative to the scheduled arrival date, and will deduct all non-recoverable costs incurred by The Agent (e.g., third-party fees, non-refundable deposits, and time spent on services already delivered). No refunds are available for services commenced or for unused pre-paid concierge hours.
Client Responsibility, Fraud, and Appointment Policy: The Client is responsible for the timely provision of all required foreign and personal documents, accurate information, and cooperation necessary for The Agent to render the services (e.g., residency applications, bank account opening).
Fraudulent Documents: The Client must ensure that all documents provided and disclosures made to The Agent and any third-party professional or government entity are truthful, genuine, and not fraudulent. Any delays or failure to obtain necessary documents due to Client error or lack of cooperation are not the responsibility of The Agent. In the event of any fraudulent applications for residency or the provision of untruthful/non-genuine documents, this Agreement will be terminated and all facilitation work ceased immediately, with no refund due to the Client for any fees paid.
Missed Appointments: If, for example, a professional agreed in advance by The Agent is to accompany the Client to a government appointment, and the Client is late, unavailable for pickup, or uncontactable, the appointment will need to be rescheduled, and any resulting costs (including third-party fees or professional's travel time) may be passed on to the Client. In the case of an Agent-assigned professional not being available for a scheduled appointment, a suitable alternative will be found at The Agent's expense.
Non-Liability for Referred Professionals: The Agent acts as a facilitator and coordinator. All referred professionals are thoroughly vetted by The Agent; however, they remain independent professional contractors and are not employees or agents of The Agent. The Agent is not responsible for the services, advice, actions, or omissions of these independent third-party partners. The Client agrees that The Agent shall have no liability for any dissatisfaction, damage, or loss arising from the services provided by any referred professional.
Insurance and Safety: The Client is solely responsible for their own safety when traveling in a foreign country (i.e., Brazil). The Client is strongly advised to maintain adequate and comprehensive personal insurance (including travel, liability, and health insurance) for their entire stay. Furthermore, it is the Client's responsibility to ensure that adequate funds or insurance coverage are available for all planned and unplanned medical expenses (including childbirth, doctor's fees, hospital fees, and any unforeseen medical complications). The Agent will not be liable for any costs incurred due to insufficient insurance or funds.
Limitation of Liability: The Agent’s liability for any claim arising from these services shall not exceed the total fee paid by the Client to The Agent for the package. The Agent is not liable for medical outcomes, legal or governmental decisions (e.g., permanent residency approval), or acts of God (force majeure) that may affect the delivery timeline or availability of services.
Governing Law and Jurisdiction: These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Wyoming, USA. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Wyoming, USA.
